Part A: General Client & Service Terms

Client Agreements
Section 1.0

1.0 Scope of Services & Offerings

Project Infinitum (“Studio”) provides bespoke digital architecture, software engineering, web portals, and database infrastructure. All projects commence strictly upon scope agreement and formal quotation:

  • School & Institution Portals: Tiered packages (Basic, Pro, Ultra, Elite) spanning responsive institutional design, editable CMS, student fee management, parent/student portals, timetable archives, staff training, and staff-operated QR Code attendance systems.
  • Wedding, Celebration & Memorial Portals: High-definition celebration platforms and commemorative tributes (Classic Keepsake, Interactive Celebration & QR, Heritage & Lifetime Legacy) featuring smart invitation QR codes, live candid photo drops, audio/video tribute vaults, family moderation panels, and gravestone weather-proof ceramic/metallic QR plaques.
  • Retail POS & Inventory Systems: Enterprise-grade billing, stock registry, barcode scanning, and sales analytics engineered on an offline-first architecture with dual local and cloud automated backups.
  • Custom Software & Enterprise Database Solutions: Departmental workflows, office correspondence management (e.g. DCPro, Dak registry), record retrieval engines, and bespoke business applications.
Section 2.0

2.0 Quotations, Invoicing & Payment Terms

All prices quoted by Project Infinitum are in Indian Rupees (INR) and cover software development, user interface design, and initial cloud deployment setup:

  • Advance Milestone Deposit: A standard 50% mobilization deposit is required prior to project scheduling, architectural design, and codebase initialization. The remaining balance (50%) is due immediately upon staging verification and live deployment.
  • Out-of-Scope Additions: Any feature, module, additional page, or workflow requested outside the written quotation will be quoted separately as an addendum before implementation.
Mandatory Official Payment Channel Rule: All client payments must be deposited strictly into the official Project Infinitum Studio Bank Account or verified Studio UPI QR Code. Associates, contractors, and intermediaries are strictly prohibited from collecting client funds into personal accounts or accepting cash. The Studio accepts zero liability for funds transferred to unauthorized personal accounts.
Section 3.0

3.0 Client Responsibilities & Asset Submission

Efficient delivery relies on active client cooperation:

  • Asset Delivery: The client agrees to furnish approved text copy, high-resolution photographs, brand logos, school curriculum details, and student data in the clean spreadsheet template provided by the Studio.
  • Copyright Warranty: The client warrants that all text, logos, audio tracks, and images provided for inclusion are owned by the client or used with explicit permission. The Studio is indemnified against any intellectual property or third-party copyright claims arising from client-supplied materials.
  • Timely Review: Review stages require consolidated feedback within 7 to 10 calendar days. Delays exceeding 14 calendar days without communication may cause project rescheduling.
Section 4.0

4.0 Revision Rounds & Scope Boundaries

To preserve software quality and adhere to delivery targets, revision cycles are clearly quantified:

  • Definition of a Revision Round: A single revision round constitutes one consolidated document or comprehensive list containing all requested modifications, layout tweaks, and copy adjustments within the agreed project scope. Fragmented, piecemeal daily requests do not constitute structured feedback.
  • Package Allocations: Classic Keepsake / Basic: 2 rounds; Pro / Interactive Celebration: 3 rounds; Ultra: 4 rounds; Elite / Heritage & Legacy: 5 rounds.
  • Excess Revisions: Modifications requested after exhausting allotted revision rounds, or requests requiring architectural alterations, are billed at our standard hourly or milestone rate.
Section 5.0

5.0 Delivery Timelines & Deployment

Estimated timelines are determined by project scope and package specification:

  • Memorial / Wedding Websites: Classic Keepsake: 3–5 days; Interactive Celebration: 1–2 weeks; Heritage & Lifetime Legacy: 2–3 weeks.
  • School & Institutional Systems: Basic: 1–2 weeks; Pro: 3–5 weeks; Ultra: 3–5 weeks; Elite: 3–8 weeks.
  • Clock Activation: Delivery timelines begin exclusively upon receipt of: (a) initial advance deposit, (b) confirmed project scope, and (c) all mandatory content, photography, and student record templates.
Section 6.0

6.0 Post-Launch Technical Support ("Help After Going Live")

Following live deployment, Project Infinitum provides a dedicated technical assistance window to ensure smooth operational adoption:

Package Tier Included Help Window Scope of Assistance
Keepsake / Basic 10 to 15 Calendar Days Fixing code bugs, verifying links, contact form routing.
Interactive / Pro 15 to 30 Calendar Days Receipt download troubleshooting, CMS publishing guidance, photo drop moderation help.
Ultra 60 Calendar Days Payment gateway verification, parent/student login support, fee status tracking help.
Elite 90 Calendar Days QR attendance operational review, duplicate-scan corrections, timetable and marksheet adjustments.
Support Scope Definition: Included post-launch help covers fixing software defects, correcting broken logic in delivered features, and answering administrative questions. It excludes authoring new web pages, performing ongoing routine data entry for staff, repairing physical hardware, or resolving external ISP network outages. Annual Maintenance Contracts (AMC) are available following the support window.
Section 7.0

7.0 Staff Training & Knowledge Transfer

For systems with administrative dashboards (Pro, Ultra, Elite), structured training is provided to nominated personnel:

  • Session Allotment: Pro: 1 live session; Ultra: 2 live sessions; Elite: 3 live sessions (each lasting up to 60 minutes).
  • Modality: Training is conducted live online (via Google Meet / Zoom) or in-person within Aizawl. Digital user guides and recording walk-throughs are supplied. In-person training outside Aizawl incurs client-covered travel and accommodation.
Section 8.0

8.0 System Boundaries & Third-Party Dependencies

Clients are advised on clear technical boundaries to maintain realistic expectations:

  • Fee Management vs Complete ERP: Fee management tracks fee collections, concessions, student dues, and receipts. It is not an enterprise double-entry accounting ledger or payroll disbursement engine.
  • QR Attendance vs Biometric Hardware: QR attendance is a staff-supervised camera-scanning solution with duplicate-prevention; it does not replace thumbprint/facial recognition hardware.
  • Payment Gateways: Integration with third-party payment gateways (e.g. Razorpay, Cashfree) facilitates online tuition/dues. Gateway merchant KYC approval, chargebacks, and transaction MDR charges (~1.5%–2%) are strictly contractual agreements between the client and the payment aggregator.
  • Domains & Edge Hosting: Complimentary custom domain registrations (.in / .com / .org) included in specific tiers are subject to registry availability for the stated initial term (1–3 years). Subsequent annual renewals (approx. ₹900–₹1,200/year) are payable by the client.
Section 9.0

9.0 Software Ownership, Data Sovereignty & Intellectual Property

We champion digital sovereignty and total independence for our clients:

Zero Recurring Subscription & 100% Client Ownership: Clients purchasing Project Infinitum POS and custom software hold permanent, perpetual ownership of their deployed instance. You are never subject to forced monthly software rental fees or licensing lock-outs. All business records, customer lists, and financial logs remain the exclusive intellectual property of the client.

The Studio retains exclusive intellectual property ownership of its underlying core libraries, re-usable architectural patterns, base boilerplates, and developer tooling.

Section 10.0

10.0 Memorial Sites, Live Guest Drops & Cultural Decorum

Digital memorials and celebration portals preserve cherished memories across generations and require high ethical standards:

  • Mizo Cultural Respect & Sensitivity: When building Memorial and Tribute portals, the Studio adheres strictly to Mizo cultural values of dignity, condolence, and deep familial respect.
  • Guest Upload Moderation Controls: Live Guest Photo Drop engines incorporate private passcode access and password-protected family administrative moderation panels. Submissions are reviewed, re-ordered, or hidden before entering the permanent public memorial stream.
  • Defamatory or Inappropriate Content: The client agrees that memorial sites will not be utilized for malicious or defamatory purposes. Any fraudulent, defamatory, or abusive material reported will be removed immediately.
Section 11.0

11.0 Contract Cancellation & Refund Policy

  • Pre-Mobilization Cancellation: If a project is cancelled in writing prior to design kickoff or software architecture initiation, the advance deposit will be refunded less a 15% administrative and onboarding fee.
  • Post-Commencement Cancellation: Once architectural design, serverless configuration, or code development has commenced, deposits are strictly non-refundable to cover labor and technical resource commitments. Delivered source assets will reflect completed milestone compensation.
Section 12.0

12.0 Warranties & Limitation of Liability

Project Infinitum implements industry best practices including high-availability Cloudflare edge preservation and automated dual local and cloud database backups. However, the Studio is not liable for indirect, incidental, or consequential damages resulting from third-party ISP outages, client-compromised passwords, or unapproved third-party modifications to deployed systems.

Section 13.0

13.0 Governing Law & Jurisdiction (Aizawl, Mizoram)

These terms and all client agreements are governed by and construed in accordance with the laws applicable in India. Any dispute, claim, or controversy arising out of or relating to these terms shall fall under the exclusive jurisdiction of the competent courts in Aizawl, Mizoram.

Part B: Associate Partner Framework & Governance

Partner Regulations
Section 14.0

14.0 Associate Partner Engagement & Independent Status

Project Infinitum welcomes sales, outreach, and business development Associate Partners under the following terms of engagement:

  • Independent Contractor Status: An Associate Partner is an independent contractor and not a salaried employee, agent, or legal partner of Project Infinitum. Associates hold no entitlement to fixed monthly salaries, Provident Fund (PF), medical benefits, or employee allowances.
  • Performance-Driven Compensation: Remuneration is strictly success-based, earned via commissions on closed and cleared client contracts.
Section 15.0

15.0 15% Commission Structure & Payout Terms

The commission structure for Associate Partners is standardized across all product offerings:

Flat 15% Commission: For every new client contracted and finalized through an Associate, the Associate receives a flat 15% commission calculated on the net software engineering, website development, or system setup fee agreed in the official quotation.
  • Third-Party Cost Exclusions: Commission applies to the net professional software/design fee. It excludes third-party pass-through costs (e.g. physical engraved gravestone plaques, acrylic luxury standees, third-party payment gateway fees, domain registry renewals, or physical hardware such as thermal printers and barcode scanners).
  • Disbursement Timeline: Commission is disbursed directly to the Associate's verified bank account or UPI within 2 to 3 business days after the client's payment has cleared in the official Project Infinitum Studio account.
  • Contract Cancellations: If a client cancels before mobilization and funds are refunded, no commission is earned on the cancelled project.
Section 16.0

16.0 Strict Official Account Rule & Fund Handling Prohibition

Zero-Tolerance Financial Regulation: Associates are strictly forbidden from receiving, holding, or routing client payments through their personal bank accounts, personal UPI IDs, or cash in hand. All client fees must be remitted directly to the official Project Infinitum Studio account. Any breach constitutes immediate contract termination and referral to legal authorities.
Section 17.0

17.0 CEO Absolute Authority & Immediate Termination

Unilateral CEO Discretion & Immediate Termination: The Chief Executive Officer (CEO) of Project Infinitum holds sole, absolute, and unreserved authority to terminate any Associate Partner agreement at any time, with or without prior notice, and with or without cause ("At-Will / No Questions Asked").
  • Post-Termination Commission Rights: Upon termination, the Associate is entitled exclusively to commissions on projects fully finalized, invoiced, and paid into the Studio account prior to the official termination notice.
  • Extinguishment of Future Claims: All prospective leads, pending quotes, in-progress negotiations, or subsequent renewals are immediately relinquished, with no ongoing claim against Project Infinitum.
Section 18.0

18.0 Lead Registration & Anti-Poaching Rule

  • First-Come, First-Served Lead Registration: To avoid duplicate solicitation, Associates must formally log prospective client leads with Studio management prior to entering formal commercial discussions.
  • 14-Day Exclusivity Window: An Associate holds exclusive rights to a registered lead for 14 calendar days. If no contract is signed or deposit paid within 14 days, the lead is released for other team members.
  • Non-Circumvention & Anti-Poaching: Associates may not build systems independently for clients discovered through Project Infinitum, divert clients to competing development agencies, or exploit Studio intellectual assets for private gain.
Section 19.0

19.0 Pricing Integrity & Unauthorized Commitments

Associates must represent Project Infinitum faithfully according to official published tiers:

  • No Unauthorized Discounts: Associates cannot quote below official Studio package rates or offer discounts without written authorization from the CEO.
  • No Unverified Technical Commitments: Associates must not commit to unsupported custom features, complex API bridges, or artificial delivery timelines without direct approval from the technical engineering team.
Section 20.0

20.0 Code of Conduct, Memorial Etiquette & Brand Protection

  • Solemn Decorum with Grieving Families: When introducing Memorial & Legacy tributes, Associates must exhibit utmost empathy, dignity, and cultural tact. Aggressive sales tactics, insensitive persistence, or commercial pressure on grieving families will result in immediate disqualification and contract revocation.
  • Brand Protection & Non-Disparagement: Associates agree not to make defamatory, misleading, or negative statements regarding Project Infinitum, its clients, or personnel on social media, messaging platforms, or public forums.
  • Confidentiality: Associates must maintain strict confidentiality regarding all client databases, personal family archives, and Studio pricing strategies.
